1. Acceptance of Terms

By engaging the services of Tunzua Consultancy ("we," "our," or "us") or accessing our website, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not engage our services or access our website.

2. Scope of Services

Tunzua Consultancy provides professional accounting, taxation, and business consultancy services, including but not limited to:

• Bookkeeping & Accounting: Maintenance of books of accounts, financial record-keeping, and preparation of financial statements.
• GST Services: GST registration, monthly/quarterly GST return filings, GST reconciliation, and compliance management.
• Income Tax Services: Income tax return preparation and filing, tax planning, TDS return filings, and handling of tax assessments and notices.
• Tally Prime Services: Tally Prime setup, data migration, customization, training, and ongoing support.
• Payroll Management: Salary processing, PF/ESI compliance, TDS on salary, and payroll statutory filings.
• Business Consulting: Financial advisory, business structuring, compliance guidance, and strategic planning support.

3. Client Obligations

As a client, you agree to:

• Provide accurate, complete, and timely information and documents required for the delivery of services.
• Ensure the accuracy of all information provided and acknowledge that Tunzua Consultancy relies on such information in good faith.
• Promptly inform us of any changes in your business structure, financial affairs, or other relevant details that may affect the services.
• Maintain copies of all documents and records submitted to us for your own reference and backup.
• Make timely payments as per the agreed terms outlined in the engagement letter and these Terms of Service.

4. Fees and Payment

• Fees for services shall be as mutually agreed upon in the engagement letter or separate agreement.
• All invoices are due for payment within 15 days from the date of invoice unless otherwise specified.
• Late payments will attract interest at the rate of 1.5% per month on the outstanding amount from the due date until the date of actual payment.
• We reserve the right to suspend or terminate services in the event of non-payment or delayed payment beyond the stipulated period.
• All fees mentioned are exclusive of applicable Goods and Services Tax (GST), which will be charged additionally as per prevailing rates.

5. Confidentiality

We maintain strict confidentiality with respect to all client information, financial data, and business records. We shall not disclose any confidential information to any third party without your prior written consent, except as required by law or regulatory authorities. Both parties agree to protect each other's confidential information with the same degree of care used to protect their own confidential information.

6. Limitation of Liability

Our services are based on the information and documentation provided by you. We shall not be held liable for:

• Any inaccurate filings, assessments, or outcomes resulting from incorrect, incomplete, or delayed information provided by the client.
• Any penalties, interest, or liabilities arising from non-compliance due to client's failure to provide timely information or meet statutory deadlines.
• Any decisions made based on our advisory or consultancy services, as professional advice is subject to interpretation and individual circumstances.

Our total aggregate liability for any claim arising out of or relating to these Terms of Service or our services shall not exceed the total fees paid by you for the specific service giving rise to such claim.

7. Intellectual Property

All work products, reports, templates, and deliverables created by Tunzua Consultancy in the course of providing services shall remain the property of Tunzua Consultancy until full and final payment is received. Upon complete payment, you are granted a non-exclusive, non-transferable license to use the deliverables for the intended purpose for which they were created. You shall not resell, redistribute, or modify our proprietary content without prior written consent.

8. Termination

Either party may terminate the engagement by providing 30 days' written notice to the other party. Upon termination:

• The client shall be liable for all fees and expenses incurred up to the effective date of termination.
• We shall return all client documents and records within 30 days of receiving the termination notice or the final payment, whichever is later.
• Any outstanding invoices shall become immediately due and payable upon termination.
• Confidentiality obligations shall survive termination of the engagement.

9. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms of Service, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, the dispute shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and the seat of arbitration shall be in India.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts in India.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting on our website. Your continued engagement of our services or use of our website following the posting of revised terms constitutes your acceptance of the updated terms.
